Mergers and acquisitions; share purchase agreements

Hieronymus has provided translation services to numerous law firms and companies engaged in M&A transactions – from the original letter of intent (LOI) and memorandum of understanding (MOU), to the share purchase agreement (SPA) or asset purchase agreement (APA), and including translation of due diligence documentation. We understand the particular importance of such transactions to the parties and the pivotal role that translation can play when the various parties involved do not all speak the same language.

We take special care to draw attention to any potential ambiguities in the source text and to discuss them with the client in order to provide a well-grounded, faithful and clear translation that parties to the agreement can trust. It goes without saying that we are cognisant of the high sensitivity of the information exchanged in the course of M&A transactions and have tailored our procedures accordingly.
